Terms of Service

These Terms are the agreement between you and Newgensales LLC, a Wyoming (USA) limited liability company (in formation) ("Newgensales", "we", "us"), for the use of the Newgensales platform — live AI sales coaching, meeting notetakers, transcription, conversation intelligence, CRM automation, and related services (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

1. The Service, in one paragraph

Newgensales joins your sales meetings with a visible notetaker, transcribes the conversation in real time, coaches your reps live during the call, and turns what was said into structured records — notes, deal intelligence, CRM updates, forecasts, and reports. It is built for business use by sales teams and individual sellers.

2. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. The Service is for business use; you must be authorized to act for the company you register. Team accounts have an account owner who manages seats, billing, and member access.

3. Plans, pricing, and billing

• Individual: €79 per month, one seat, up to 50 coached meetings per calendar month.
• Team: €179 per seat per month, minimum 2 seats, unlimited coached meetings.
• Annual billing is available at a 15% discount. All prices are in EUR and exclude any applicable taxes.
• There is no free trial. Subscriptions are paid up front and renew automatically each billing period until cancelled. Payments are processed by Stripe; we never store your card details.
• Seat changes on Team plans adjust your subscription quantity from the change onward.

4. 30-day money-back guarantee

Cancel in your first 30 days and we refund your payment minus our raw costs: card processing (≈€2.50) and call infrastructure (≈€0.50 per coached call). We don't make money on refunds; we just don't lose it either. To claim it, email noah@newgensales.ai from your account email within the first 30 days.

5. Cancellation

You can cancel anytime from your billing settings or the Stripe billing portal. Cancellation takes effect at the end of the current billing period; you keep access until then. Apart from the 30-day guarantee above, fees already paid are non-refundable.

6. Recording and participant consent — your responsibility

The Service records and transcribes meetings. Laws on call recording and notification differ by country and state, and you are responsible for using the Service lawfully: ensure that meeting participants are informed of, and where required consent to, recording and transcription. The Newgensales notetaker joins meetings as a visible named participant to make this easier, but visibility of the bot does not by itself satisfy every jurisdiction's requirements — that judgment is yours.

7. Your data

Your recordings, transcripts, notes, leads, and CRM data are yours. You grant us the rights needed to operate the Service on them — capture, store, transcribe, analyze with AI, and display them to the people in your organization you've allowed. We do not sell your data and we do not use it to train AI models. Details, including the third-party processors involved, are in the Privacy Policy. On termination we delete your data on request, as described there.

8. AI output is advice, not gospel

Coaching suggestions, transcripts, extracted deal intelligence, scores, and forecasts are generated by AI and can be wrong, incomplete, or mis-attributed. They are decision support for professional sellers, not a guarantee of outcomes, revenue, or accuracy. Review AI output before relying on it — especially anything you send to a customer or write into a contract.

9. Acceptable use

You agree not to:

• use the Service to record people unlawfully or without required notice/consent;
• resell, scrape, reverse-engineer, or benchmark the Service for a competitor;
• upload malware or attempt to breach tenant isolation or rate limits;
• use the Service for spam or unlawful outreach (email/SMS to leads must comply with applicable law);
• share login credentials between people (each seat is one person).

We may suspend accounts that put the Service or other customers at risk.

10. Sales Partner Program

Our affiliate and referral program is governed by these additional terms when you enroll:

• Affiliatesearn recurring commission on a merit ladder — 10% standard, 15% from 2 activated customers, 20% from 5 ("Evangelist") — for as long as the referred customer remains a paying subscriber.
• Referrers (existing customers) earn a flat 20% recurring commission.
• Commissions on annually-billed customers are reduced by 5 percentage points.
• Attribution uses a 30-day first-party cookie set by your referral link; the referred customer must sign up within that window.
• Commissions accrue when the customer's invoice is paid, are held 30 days (refunds cancel the corresponding commission), and are paid out weekly via Stripe transfers to your Stripe Express account. Stripe handles identity verification, bank details, and tax forms; you are responsible for your own taxes.
• Self-referrals, cookie stuffing, misleading advertising, and bidding on our brand terms are prohibited and forfeit commissions. We may amend program rates prospectively with notice.

11. Availability and support

We run the Service with production-grade monitoring and recovery systems, but it is provided "as is" and "as available" — no uptime guarantee is offered at this stage. Support is available at noah@newgensales.ai and through the in-app help panel.

12. Disclaimers and limitation of liability

To the maximum extent permitted by law: the Service is provided without warranties of any kind, express or implied. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.

13. Termination

You can stop using the Service and cancel at any time. We may terminate or suspend accounts for material breach of these Terms, non-payment, or unlawful use. Sections that by their nature should survive (data, liability, governing law) survive termination.

14. Changes to these Terms

We may update these Terms as the Service evolves. For material changes we will notify you (email or in-app) before they take effect; continued use after the effective date is acceptance. The "Last updated" date above always reflects the current version.

15. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. Disputes are resolved in the courts of Wyoming, USA. This choice of law does not affect data-protection rights that apply to you mandatorily, such as the GDPR for EU users.
